[1.0] INTRODUCTION AND TERMINOLOGY

This document governs the commercial relationship, licensing, and operational terms between Brodmann, the dedicated Data & Analytics (D&A) division of 0X0STUDIOS (hereinafter referred to as "Brodmann", "We", or "Us"), and the Client. Because 0X0STUDIOS operates across multiple diverse creative and technical industries, this specific document applies exclusively to the Brodmann division and its software suites. The contents of this document are canonical, signed, and approved by the parental entity, 0X0STUDIOS. All Clients are REQUIRED to review these terms prior to initiating a partnership regarding the Brodmann suite.

The keywords in this document are to be interpreted as follows to define the absolute operational boundaries of this agreement:

* MUST: This word, or the terms "REQUIRED" or "SHALL", mean that the definition is an absolute requirement of this specification and agreement.

* MUST NOT: This phrase, or the phrase "SHALL NOT", mean that the definition is an absolute prohibition of this specification.

* SHOULD: This word, or the adjective "RECOMMENDED", mean that there may exist valid reasons in particular circumstances to ignore a particular item, but the full implications MUST be understood and carefully weighed before choosing a different course.

* SHOULD NOT: This phrase, or the phrase "NOT RECOMMENDED", mean that there may exist valid reasons in particular circumstances when the particular behavior is acceptable or even useful, but the full implications SHOULD be understood and the case carefully weighed before implementing any behavior described with this label.

* MAY: This word, or the adjective "OPTIONAL", mean that an item is truly optional.

[2.0] DEFINITION OF A FRAMEWORK

Throughout this document, the term "Framework" refers to products within the Brodmann suite (such as BI-0). A Framework MUST NOT be viewed as traditional software distributed via downloadable binaries. It is defined in two distinct variations:

[2.1] Business Definition

A Framework operates as a specialized, automated workforce. You provide the task requirements and data parameters; the Framework returns a comprehensive, structured response. For example, BI-0 functions as a Business Intelligence Analyst (BIA) that receives your data and delivers structured, detailed reports based on your exact inquiries.

[2.2] Technical Definition

A Brodmann Framework is a secure routing architecture containing parameters and rule sets that process arguments. It MUST NEVER mutate the source data. It is a subroutine designed to extract insights from provided arguments and convert the output into easily accessible, human-readable formats (e.g., PDF, document, email, web page), followed by a return signal/notification.

Note: Clients are NOT REQUIRED to manually input data per report. Clients MAY simply point the Framework to their data sources once, define the retrieval method, and the Framework MUST execute this on every instance.

[3.0] LICENSING MODEL AND PHILOSOPHY

We do not sell software. We grant you the license and right to use our Framework as a service distribution. We do not operate on a "one software sold to many" model, nor do we offer exclusivity. Because Client parameters are highly dynamic, every Framework instance adapts specifically to the data sources dictated by the Client. The Client SHALL NOT have access to the underlying code, binaries, or traditional software architecture; we strictly provide the interfaces for execution.

[4.0] FINANCIAL TERMS: LICENSE FEES

To acquire the right to use a Framework, the Client MUST pay a recurring, fixed-length ANNUAL License Fee.

[4.1] Pricing Structure: Clients SHOULD NOT attempt to predict pricing across different Frameworks, as each Framework carries its own specific Base License Price.

[4.2] Price Fluctuation: Framework License base prices WILL NEVER decrease. They MAY or MAY NOT increase in the future. Because this fee strictly covers licensing rights, it remains highly stable.

[5.0] FINANCIAL TERMS: RUNTIME FEES

All computing resources required to run the Framework MUST be funded by the Client. While Brodmann entirely manages the servers, containers, domains, external APIs, and external models, the capital for these resources comes from the Client.

[5.1] Variable Cost: The Runtime Fee is strictly a variable amount with no predefined minimum or maximum entry cost, scaling directly with the Client's parameter and argument size.

[5.2] Billing Cycle: The Client MUST pay this fee MONTHLY.

[5.3] Runtime Cost Calculation (Hypothetical Example):

If the highly efficient BI-0 Framework runs on a 2-Core, 32GB RAM server (Cost: $k1/month), utilizes an external emailing tool (Cost:$k2/month), and requires a custom domain (Cost: $k3/month), the base infrastructure cost is$k1 + $k2 +$k3.

[5.4] Service Fee: A 20% Service Fee MUST be applied to the total base infrastructure cost. This fee compensates Brodmann for continuous monitoring, maintenance, and ensuring 100% uptime. Total Monthly Runtime Fee = (Infrastructure Cost) + 20%.

[6.0] VERSIONING AND SOFTWARE UPGRADES

The Framework utilizes standard Semantic Versioning (MAJOR.MINOR.PATCH).

[6.1] Included Updates: The Client's active license covers every MINOR and PATCH version update indefinitely.

[6.2] Major Upgrades: The Client's license does NOT cover MAJOR updates. To access a new MAJOR version, the Client is REQUIRED to upgrade their license by paying the new applicable rate.

[6.3] Downgrades: A Client MUST NOT downgrade a license. A license can only be elevated.

[6.4] Initial Purchase: New Clients MUST purchase a license for the currently active MAJOR version.

[6.5] Upgrade Impact on Runtime: Upgrading a license does NOT change the Runtime Fee unless the new MAJOR version introduces services that alter infrastructure costs.

[7.0] SETUP, ACCURACY, AND LIABILITY

[7.1] Setup Period: Upon finalizing the agreement, Brodmann requires 2 to 8 working days to spin up the Framework and configure its rulesets. This timeline MAY exceed the maximum timeframe in complex deployment scenarios.

[7.2] Accuracy Guarantee: We strive to ensure Framework output is 100% correct. We execute rigorous data pipelining and MAY employ human experts to verify outputs.

[7.3] Liability Exemption: Brodmann is NOT RESPONSIBLE for misleading outputs, harm, lethal jeopardy, or damages of any kind if the issue stems from improper or inaccurate information provided by the Client. We are NOT RESPONSIBLE for the generation of racial slurs, harmful advice, or malicious output if it is derived directly from the Client's input data.

[8.0] PAYMENT WINDOWS, RENEWALS, AND GRACE PERIODS

[8.1] Manual Payments: We DO NOT provide automatic deduction mechanisms. Clients are REQUIRED to manually initiate all payments via Payoneer.

[8.2] License Payment Window & Grace Period: Initial setup requires full payment of the Annual License Fee and the first Monthly Runtime Fee. For annual renewals, the Client is granted a 2-Month Grace Period following a failed renewal before elevated action is taken.

[8.3] Runtime Payment Window & Grace Period: The Runtime Fee MUST be paid 1 to 5 days prior to the start of the next monthly cycle. There is NO GRACE PERIOD for Runtime Fees.

[8.4] Elevated Action (Runtime Failure): If the Runtime Fee is unpaid 1 day past the due date, the Framework is IMMEDIATELY PAUSED. If payment is still not received after 3 additional days, the Framework SHALL BE SHUT DOWN.

[9.0] REFUNDS, CANCELLATIONS, AND TERMINATION

[9.1] License Refunds: There SHALL BE NO REFUNDS issued for License payments under any circumstances.

[9.2] Runtime Refunds: There SHALL BE NO REFUNDS issued for Runtime Fees.

[9.3] License Cancellation: Clients MAY revoke their license at any time. Upon revocation, all Client data and historical records are IMMEDIATELY TRASHED.

[9.4] Runtime Cancellation: The Runtime Fee CANNOT be independently cancelled while a license is active.

[9.5] Data Handover: Upon Framework shutdown, all proprietary information saved on the Framework remains the property of the Client and, upon request prior to deletion, WILL be handed over as a .ZIP file.

[9.6] Rule of Inactivity: The Client MUST continue to pay all recurring fees regardless of how often they interact with the Framework.

[10.0] CLIENT COMMUNICATION AND CODE OF CONDUCT

[10.1] Communication Standards: We respond to digital communications as rapidly as possible using real human representatives. We DO NOT recognize "urgent" demands outside standard operating protocols.

[10.2] Meetings: Clients MAY request meetings. Meetings MUST be booked a minimum of 3 days in advance.

[10.3] Code of Conduct: Brodmann maintains a zero-tolerance policy regarding hostility. Racial slurs, tribalism, homophobia, racism, or forcing personal beliefs onto our staff SHALL NOT BE TOLERATED. Any violation WILL result in an immediate, permanent ban and the IMMEDIATE REVOCATION of the Client's license with NO REFUND.

[11.0] MISCELLANEOUS

Aside from the stipulations explicitly stated in this document or a direct violation of the Code of Conduct, Brodmann is in no position to arbitrarily revoke a Client's license. For specific modifications, the Client MUST contact our legal department prior to agreement execution.

[12.0] CONCLUSION AND SIGNATORY

By proceeding with the acquisition, licensing, or deployment of any Brodmann Framework, the Client acknowledges that they have read, understood, and agreed to be legally bound by all terms, conditions, and payment obligations detailed in this document.
